Berry and Glatfelter Announce Merger

2024-08-08

On July 24, Berry International Group (NYSE: BERY) and Glatfelter (NYSE: GLT) announced their merger plan. According to this plan, Berry's global nonwoven and film business of medical, hygiene and specialty materials will be separated and merged with Glatfelter, and the new company will be branded as "Magnera". The merger plan aims to provide complementary sustainable fiber products and polymer materials.

“Magnera" has 46 manufacturing plants around the world, which can provide innovative solutions to customers in adjacent regions and minimize environmental impact. Magnera's purpose is to "make the world better by turning possibilities into reality". They plan to create and innovate with partners to develop original material solutions to drive customer goals and end-users' daily needs. By focusing on innovation, operational excellence and market penetration strategies, Magnera will become a company with the world's most extensive product supply in high-growth markets in polymer and nonwoven product applications.

Berry Global Group is known for its excellence in plastic packaging. During the pandemic, they significantly increased their production capacity for meltblown nonwovens for masks and respirators, adding multiple production lines around the world. In addition, they invested in a spunmelt production line in Nanhai, China, and a sustainable spunlace production line in Kujik, the Netherlands.

Glatfelter, the world's largest airlaid nonwoven manufacturer, mainly uses wood pulp and cellulose as raw materials. Berry's main production is concentrated in spunmelt nonwovens for healthcare and hygiene applications, which are mainly based on polypropylene. In recent years, Berry has made several major investments in its nonwoven business, including two state-of-the-art spunmelt production lines in Nanhai, China and a sustainable development-focused spunlace production line in Kujik, the Netherlands. During the 2020-2021 COVID-19 pandemic, Berry also added multiple production lines dedicated to the production of meltblown nonwovens, a key material used in masks and respirators.
Since entering the market in 2010 with the acquisition of airlaid producer Concert Industries, Glatfelter has actively expanded its nonwoven manufacturing business. Recently, they acquired Jacob Holm's spunlace business, including production sites in North Carolina, Germany and France, and  Georgia-Pacific's airlaid business in the United States and Germany.
Through this merger, Magnera will leverage the historical heritage of both companies and bring together a diverse team to work together to achieve future goals. They believe that as the demand for high-end and customized products grows, they will be able to provide customers with a wider range of choices and greater flexibility, and gain customer recognition.
